A company entering Mexico needs about fourteen things done in a particular order, several of which have deadlines that start running before anyone tells you. This is that list, grouped into the things you will actually be invoiced for.

Company formation

Constitución

Incorporation through a notary, registration in the Public Registry of Commerce, corporate books, and conversion from S.A.S. to S.A. de C.V. when revenue requires it.

Tax registration & CFDI

RFC y facturación

RFC registration, e.firma, digital seal certificates, and CFDI 4.0 invoicing set up correctly from the first invoice rather than fixed later.

Bookkeeping & monthly filings

Contabilidad mensual

Transactions classified and reconciled, ISR and IVA provisional returns by the 17th, DIOT, and the electronic accounting upload — prepared and signed by our in-house Contadores Públicos.

Payroll, IMSS & INFONAVIT

Nómina y seguridad social

Employer registration, payroll calculation and stamping, social security and housing fund contributions, state payroll tax and the PTU accrual.

Work visas & residency

Visas y residencia

Employer certification with the immigration institute, work visa applications for expatriate staff, and residency renewals. Coordinated with the consulate in your country.

Product compliance

Cumplimiento de producto

Tariff calculation by HS code, Spanish NOM labelling, and COFEPRIS or electronics certification where the category requires it. Shared with TK Comercio.

The traps

Six things that catch foreign companies

01
The S.A.S. revenue ceiling
An S.A.S. is capped at 7,678,849.94 pesos of annual revenue for 2026. Past that you must convert. Companies discover this in month three and convert while trading, which is far more expensive than doing it before opening.
02
A branch has its own deadlines
Open an office or warehouse in another state and you must notify SAT within the following month, and register for that state's payroll tax and IMSS. Missing it is a penalty, not a letter.
03
CFDI 4.0 is unforgiving
The buyer's name, postal code and tax regime must match their SAT record exactly or the invoice is rejected and your customer cannot deduct it. This is the single most common cause of a payment being held.
04
PTU arrives in year two
Employee profit sharing is 10% of pre-tax profit, payable in May. Companies that did not accrue it discover a cash obligation they have not budgeted for.
05
The importer of record matters
If your supplier does not act as importador de registro, your company advances the duty and IVA at customs. On a growing import programme that is a working-capital line nobody planned.
06
Plan México incentives are capped
Immediate deduction on new fixed assets and an extra 25% deduction on increased training spend are available to 2030 — but need committee approval and the allocation is limited. Worth applying early.

Licensed accountants, in the building

Accounting and tax filings are prepared and signed by our own Contadores Públicos, each holding a cédula profesional. You are not being passed to a firm we found for you — they sit on the same floor as the person who answers your email.
